Terms of Service

1. Agreement to Terms

By accessing or using the services of Build with Simon (“we”, “our”, or “us”), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, then you may not access our services.

2. Services

Build with Simon provides web design, development, and related digital services including but not limited to:

• Website design and development
• Web application development
• E-commerce solutions
• SEO and digital marketing services
• Website maintenance and support
• Consulting and technical advisory

3. Project Engagement

3.1 Proposals and Quotes

All proposals and quotes are valid for 30 days from the date of issue unless otherwise specified. Prices quoted are based on the specifications provided at the time of quotation.

3.2 Project Commencement

Projects commence upon receipt of signed contract/agreement and initial deposit (typically 50% of project cost unless otherwise agreed).

3.3 Client Responsibilities

Clients agree to:

• Provide timely feedback and approvals
• Supply necessary content, materials, and access credentials as required
• Ensure all provided content is original or properly licensed
• Respond to communications within reasonable timeframes

4. Payment Terms

4.1 Payment Schedule

Unless otherwise agreed in writing:

• 50% deposit required to commence work
• Remaining 50% due upon project completion and before final delivery/launch
• Ongoing services billed monthly in advance

4.2 Late Payments

Invoices are due within 14 days of issue. Late payments may incur interest at 8% above the Bank of England base rate. We reserve the right to suspend services for overdue accounts.

4.3 Additional Work

Work requested beyond the original project scope will be quoted separately and requires written approval before commencement.

5. Intellectual Property

5.1 Ownership

Upon full payment, clients receive ownership of the custom website design and content created specifically for their project. We retain rights to underlying code frameworks, libraries, and methodologies.

5.2 License to Use

We reserve the right to display completed projects in our portfolio and marketing materials unless specifically agreed otherwise in writing.

5.3 Third-Party Materials

Any third-party materials (stock images, fonts, plugins) used in projects remain subject to their original licenses. Clients are responsible for ongoing licensing fees where applicable.

6. Warranties and Disclaimers

6.1 Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner. We provide a 30-day bug-fix warranty on delivered code from the date of launch.

6.2 Disclaimer

Services are provided “as is” without warranty of any kind, either express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

6.3 Limitation of Liability

Our total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of these terms.

8. Cancellation and Refunds

8.1 Client Cancellation

Clients may cancel projects with written notice. Work completed to date will be billed at our standard hourly rate, and any unused deposit will be refunded.

8.2 Our Right to Cancel

We reserve the right to cancel projects if clients fail to provide necessary materials, feedback, or payment within agreed timeframes.

9. Hosting and Maintenance

Unless we provide hosting services directly, clients are responsible for their own hosting arrangements. We are not liable for any hosting-related issues, downtime, or data loss.

Maintenance services, when provided, cover routine updates and minor changes. Major redesigns or functionality additions are quoted separately.

10. Search Engine Optimization (SEO)

While we employ best practices for SEO, we cannot guarantee specific search rankings or traffic levels as these depend on numerous factors beyond our control, including search engine algorithms and competitor activities.

11. Indemnification

Clients agree to indemnify and hold harmless Build with Simon from any claims, damages, or expenses arising from:

• Content provided by the client
• Client's use of the delivered services
• Violation of these terms or applicable laws

12. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control, including but not limited to acts of God, strikes, lockouts, riots, acts of war, epidemics, governmental regulations, power failures, or Internet/network failures.

13. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiation. If resolution cannot be reached, disputes shall be subject to mediation before pursuing legal action.

14. Governing Law

These terms shall be governed by and construed in accordance with the laws of England and Wales. Any legal action shall be brought in the courts of Bristol, UK.

15. Severability

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

16. Entire Agreement

These terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior or contemporaneous understandings regarding the subject matter.

17. Amendments

We reserve the right to update these terms at any time. Changes will be effective immediately upon posting to our website. Continued use of our services constitutes acceptance of updated terms.
